Conditions for the exercise of contractual delegations

Financial limits

Unless otherwise stated, the financial limitations set out in the table below apply to both expenditure and revenue contracts.

When assessing financial limits, the following principles apply:

1. The financial limit places a cap on the delegate’s authority to commit the University to a liability under the contract (contracted liability). Delegates may not exceed their financial limit.
   
2. The financial limit is exclusive of GST.
3. Contracted liabilities include the total value of all financial expenditure to be made by Flinders over the term of the contract (for contracts without an expiry date, a deemed contract term of 5 years is to be used).
4. Commitments which are not binding at the time of execution (uncommitted liabilities) are not included as part of the contracted liability at the time of execution.  This includes, for example, an option exercisable by Flinders for an additional term or an option to procure further goods or services beyond the original contract value.
5. If an uncommitted liability later becomes a binding commitment (e.g. upon exercise of an option for an additional term), this will be deemed an addition to the contracted liability rather than a new contracted liability in its own right.  This may result in the contract exceeding the original delegate’s financial limit, in which case a delegate with a higher financial limit must approve the option.  Variations, amendments and extensions etc. will be treated the same way, i.e. they will be aggregated to the value of the original contract, except where the contract has an inbuilt mechanism to approve variations.  Contracts with an inbuilt mechanism to approve variations do not involve the exercise of a contractual delegation and may be approved as an expenditure delegation, provided the expense is within budget.  A renewal of a contract which follows a fresh procurement process is considered a new contact in its own right, and therefore is not added to the original contract value.
6. Where a delegate has differing financial limits for revenue and expenditure contracts, both limits may apply concurrently to the same contract (e.g. the revenue limit applies to the revenue aspect of the contract, and the expenditure limit applies to the expenditure aspect of the contract).
7. Where the value of a contact exceeds the financial limit of all delegates, Council approval is required.

Delegation limits

Real property: only the Vice-President (Corporate Services), Director, Property, Facilities and Development, Vice-Chancellor or Chancellor may execute contracts which grants rights over or deal in real property.

International contracts: only the Vice-President and Pro Vice-Chancellor (International), Senior Deputy Vice-Chancellor and Deputy Vice-Chancellor (Students) or Vice-Chancellor may execute contracts relating to teaching and educational collaboration with an international partner or involving delivery offshore, other than cotutelle arrangements which can be executed by the Pro Vice-Chancellor (Research Training and Capabilities) and Dean of Graduate Research.
